BnB Flow — Agent Terms

These Agent Terms (“Terms”) govern your access to and use of the BnB Flow lead marketplace, alerts, dashboards, emails, and related services (collectively, the “Services”). “Agent,” “you,” or “your” means the real estate professional or brokerage account holder accepting these Terms. “BnB Flow,” “we,” or “us” means BnB Flow.

By using the Services (including claiming/purchasing a lead), you agree to these Terms.

1) Who we are (not your broker)

BnB Flow is a lead-generation and routing service. We are not a real estate broker for buyers or sellers, do not represent consumers in any transaction, and do not negotiate or participate in sales. You alone are responsible for all brokerage activities, disclosures, fiduciary duties, advertising compliance, and outcome of any transaction.

2) Key definitions

  • Lead: Contact information and responses a consumer submits through our forms at a point in time (a “lead event”), plus metadata we attach (market, budget range, timestamps, etc.).

  • Exclusive Lead (per event): When you purchase/claim a Lead, that lead event will not be sold to another agent.

  • Subsequent Lead Event: If the same consumer later submits another form (e.g., different market/property/timing), that is a new lead event and may be routed or sold again, including to a different agent. We may, at our discretion, attempt to re-match to the prior agent, but we are not obligated to do so.

3) Lead availability, markets, and volumes

The Services are non-exclusive. We may work with multiple agents in the same market. We do not guarantee lead volumes, acceptance, or transaction outcomes. Markets, filters, eligibility rules, and quality controls may change at any time.

4) Purchasing and credits

  1. Pricing and payment. Each Lead displays a fixed price at purchase. Taxes (if any) are extra. All payments are due at checkout and processed by our payment provider.

  2. Invalid-contact credit. If a Lead’s phone and email are both invalid (e.g., unreachable number and hard-bounce email), notify us at [email protected] within 7 calendar days with reasonable proof (call/SMS logs, bounce header). Approved cases receive a replacement credit (not cash) usable toward a future lead.

  3. No refunds. Except for the invalid-contact credit above or where required by law, all sales are final and non-refundable.

  4. Chargebacks. You agree not to dispute valid charges. Misuse of chargebacks may lead to suspension or termination.

5) Use of Leads (license and restrictions)

We grant you a limited, non-transferable license to use purchased Lead data solely to contact that consumer regarding the STR purchase intent they expressed. You agree to:

  • Do: store and safeguard Lead data; promptly honor opt-out/unsubscribe requests; comply with all applicable laws.

  • Don’t: resell, re-license, publish, or share Leads outside your brokerage/team; scrape or harvest our systems; use Lead data for unrelated marketing; misrepresent affiliation with BnB Flow.

Survival: Your obligations to protect Lead data and honor opt-outs survive termination.

6) Compliance (TCPA/CAN-SPAM/Fair Housing/Privacy)

You represent and warrant that you will:

  • Follow TCPA, CAN-SPAM, state telemarketing laws, and carrier rules for SMS/voice/email.

  • Not use autodialers/recorded messages/SMS unless you independently meet legal consent standards.

  • Include proper identification and opt-out language in emails/texts; promptly process “stop/unsubscribe” requests.

  • Comply with Fair Housing laws (no discriminatory preferences or practices).

  • Comply with all state licensing and advertising rules (including team/broker name/number display where required).

  • Maintain reasonable security for Lead data and report suspected breaches to [email protected] without undue delay.

7) Exclusivity scope and re-submissions (read me)

  • When you purchase a Lead, you receive exclusive access for that specific lead event.

  • If the same consumer later submits another inquiry (new market, new property, or new timing), that is a new lead event that may be matched or sold again.

  • At our discretion, we may attempt to route subsequent events to you (for continuity) but we do not guarantee priority, nor do we police consumer behavior across the internet.

  • To help you win repeat engagement, we recommend: respond within minutes, set clear expectations, and provide market-specific value.

8) Quality controls; duplicates

We may filter or de-dupe submissions, but we don’t guarantee that a consumer isn’t present in other databases (portals, other vendors, your CRM). If you believe a just-purchased Lead is a duplicate of a Lead you purchased from us in the prior [30] days, email [email protected] with evidence (timestamps, matching contact). If verified, we may issue a credit at our discretion.

9) Platform access; changes; downtime

We may update, suspend, or discontinue features (including the Leads Dashboard, alerts, or specific markets) with or without notice. We’ll try to avoid disruptive changes during business hours, but availability is not guaranteed.

10) Your representations

You represent and warrant that:

  • You (and, if applicable, your team) hold all required licenses and are in good standing to perform real estate services where you operate.

  • You maintain E&O insurance as required by your brokerage/state (if applicable).

  • Your use of Lead data will comply with these Terms and all laws.

11) Intellectual property

We (and our licensors) own the Services, content, software, and marks. Except for the limited Lead license in §5, no rights are granted or implied.

12) Privacy

We collect, use, and share information as described in our Privacy Policy (incorporated by reference). You will provide any agent-side privacy notices required by your jurisdiction and honor consumer rights requests you receive.

13) Fees; taxes; audits

You are responsible for applicable taxes and any payment provider fees. We may, upon reasonable notice, review purchase records for suspected abuse (e.g., systematic chargebacks) and take appropriate action.

14) Indemnification

You will defend, indemnify, and hold harmless BnB Flow and its affiliates, and their officers, directors, employees, and agents, from any claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of Lead data; (b) your marketing or telemarketing practices; (c) your breach of these Terms; or (d) your violation of law or third-party rights.

15) Disclaimers

THE SERVICES AND LEADS ARE PROVIDED “AS IS.” WE DO NOT WARRANT CONVERSION, CONTACT RATES, OR TRANSACTION OUTCOMES. EXCEPT AS EXPRESSLY STATED (E.G., INVALID-CONTACT CREDIT), WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

16) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER BNB FLOW NOR ITS AFFILIATES WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS/REVENUE/GOODWILL; OR DATA LOSS, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO BNB FLOW IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not allow certain limitations; those limits apply to the fullest extent permitted.

17) Governing law; disputes (NC + FAA)

These Terms are governed by the laws of the State of North Carolina, excluding its conflict-of-laws rules. The Federal Arbitration Act (FAA) governs the interpretation and enforcement of this arbitration agreement.

Arbitration (B2B). Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules (or JAMS Comprehensive Arbitration Rules if AAA is unavailable). The seat/venue of arbitration is Mecklenburg County, North Carolina, and hearings may be conducted by video/teleconference where permitted. No class or representative arbitration.

Batching/bellwether. If 25 or more substantially similar claims are filed by or with the same counsel, the parties will arbitrate ten (10) bellwether cases first, and the remaining cases will be stayed pending those outcomes.

Court relief. Either party may seek temporary injunctive relief or protection of intellectual-property rights in the state courts of Mecklenburg County, North Carolina, or in the U.S. District Court for the Western District of North Carolina (Charlotte Division) while arbitration proceeds.

Opt-out. You may opt out of this arbitration agreement by emailing [email protected] within 30 days of first use with the subject “Arbitration Opt-Out” and your full name and email.

18) Term; termination; suspension

These Terms begin when you first use the Services and continue until terminated. We may suspend or terminate access (including market subscriptions) for suspected fraud, legal risk, non-payment, or material breach. You may stop using the Services at any time; outstanding payment obligations survive.

19) Changes to these Terms

We may update these Terms from time to time. If we make material changes, we’ll notify you (e.g., email or dashboard). Continued use after the effective date constitutes acceptance of the updated Terms.

20) Miscellaneous

  • Independent contractors. The parties are independent contractors; no partnership, franchise, or agency is created.

  • Assignment. You may not assign these Terms without our prior written consent; we may assign to an affiliate or in connection with a merger/asset sale.

  • Entire agreement. These Terms (plus any incorporated policies) are the entire agreement and supersede prior understandings.

  • Severability; waiver. If any term is unenforceable, the rest remains in effect. No waiver is effective unless in writing.

Exhibit A — Practical lead rules (summary, non-exhaustive)

  • Exclusivity: Your purchased lead event is not sold to another agent.

  • Re-submissions: A consumer who submits again later (new market/property/timing) creates a new lead event that may be re-matched or sold again.

  • Credit window: Report invalid contact (both phone and email) within 7 days to request a replacement credit.

  • Contact cadence: Be responsive, respect opt-outs, and comply with TCPA/CAN-SPAM.

  • No resale: Don’t resell or publish Lead data.
